I/we hereby apply for exhibition space in The Action Expo Trade Shows on the dates specified above, at the Convention Center in Atlantic City, New Jersey.  If accepted, I/we agree to abide by show rules and regulations and also comply with any/all Municipal and State rules, regulations, and laws.  I/we agree to pay booth costs thirty (30) days prior to show selected, or forfeit my booth space to the next name on the waiting list. The basic terms and conditions of the The Action Expo Trade Shows follow:

DEFINITIONS:  In these conditions, the words defined below have the meaning: The Action Expo,LLC, by doing business as “ The Action Expo Trade Shows” Exhibitor: the person, firm, association, company, agency, or other body purchasing booth space from The Action Expo Trade Shows.
Booth Reservation Contract:  the order form of The Action Expo Trade Shows which is complete at or about the same time the order is taken from the exhibitor.

CONSTITUTION OF CONTRACT:  The particulars endorsed on the order form read with these conditions constitute the exhibitor’s offer. The Action Expo Trade Shows is entitled to accept the offer in the whole or in part. The Action Expo Trade Shows shall not be bound by any oral statements, recommendations, specifications, prices, or other representations made by its agents or employees.  No variation of any contact shall by binding on The Action Expo Trade Shows unless in writing and signed by the Trade Show Director.  

CHARGES:  Exhibitor shall pay The Action Expo Trade Shows the amount of the booth as the “rate” at the time specified in the order.  Payments shall be made free of deduction at: 2430 Shepherd Circle West, Northfield, NJ 08225, USA.  I, the undersigned, personally guarantee all payment in reference to the obligations.  

CANCELLATION:  Exhibitor shall not be entitled to cancel any reserved space after show deadlines of thirty (30) days prior to above dates.  Cancellations of any space prior to the deadline date must by made in writing 14 (fourteen) days prior to said deadline.  In the event Exhibitor is unable to attend show, The Action Expo Trade Shows will try to fill the spot with a party from the waiting list. In the event replacement that said is done, (balance of booth price minus $100) of Exhibitors money will be refunded. Otherwise, no refund will be given. The Action Expo Trade Shows shall be entitled to cancel this contract and not place any booth space of the exhibitor in the event that exhibitor fails to pay any amount owing hereunder due date.

LIABILITY:  The Action Expo Trade Shows makes absolutely no guarantees regarding retailer attendance or business activity or climate at show.  Exhibitor assumes all liability for all contents and merchandising and indemnities and holds The Action Expo Trade Shows harmless from all claims arising from loss, theft, damage, etc., howsoever arising.  The Action Expo Trade Shows shall not be liable under any circumstances for any loss of profits of any direct or indirect consequential damages arising out of any breach of its obligations. Its liability limited only to the price of the particular booth space.

INSURANCE:  Exhibitor and exhibitor display contractors shall maintain Comprehensive General Liability Insurance and Personal Injury coverage at their sole cost and expense for all their activities at the show.  Policy limits shall be at least $2,000,000/$2,000,000 Bodily Injury and Property Damage combined.  Exhibitor and exhibitor display contractors shall also maintain, at their sole cost and expense, Workers Compensation Insurance for employees participating in that show.  Evidence of insurance coverage in the form of a valid Ceritificate of Insurance specifying that coverage includes activities at the show must be provided to The Action Expo Trade Shows prior to exhibiting.  Exhibitor(s) warrant that by signing this contract, he/she has complied specifically with the insurance requirements of this contract.

COLLECTION CHARGES: Exhibitor shall pay or reimburse The Action Expo Trade Shows for the cost of collection of any amount not paid in a timely manner including the fees and charges of any attorney or collection agency or allowed open courts.  

GOVERNING LAW: The contract shall be interpreted in accordance with the laws of New Jersey.

NO OTHER CONDITIONS BINDING:  All sales of goods by company are subject to these conditions.  No attempt to vary these conditions shall be of any force or effect unless in writing and signed by the duly authorized representative of The Action Expo Trade Shows.
